New Hudson Facades is seeking a Commercial Counsel to provide day-to-day legal support with a primary focus on contract drafting, review, negotiation, and practical risk management. This role partners closely with business stakeholders to support commercial operations, interpret contractual obligations, manage routine legal matters, and maintain standardized legal documentation and processes. The Commercial Counsel will also support the General Counsel and Contracts/Compliance Manager on disputes, corporate transactions, compliance initiatives, and other legal matters as needed.
Key Responsibilities
- Contract Drafting & Review (Primary Ownership)
- Draft, review, and negotiate a variety of commercial agreements, including:
- Transportation and logistics agreements Equipment rental agreements
- Software and SaaS agreements
- Non-disclosure agreements (NDAs)
- Service vendor agreements
- Standard terms and conditions (T&Cs) and supply agreements
- Low-value vendor agreements
- Search firm agreements
- Credit applications
- Project contract documents supporting MPAs and MSAs
- Legal Support to the Business
- Provide guidance on contract interpretation and respond to internal inquiries
- Support change management processes, including drafting and issuing client notices
- Handle routine and lower-risk negotiations within established playbooks
- Identify and escalate non-standard terms or risk issues to the General Counsel
- Assist with project closeout and warranty-related reviews
- Cross-Functional Legal Support
- Partner with the General Counsel and Contracts/Compliance Manager on daily legal matters
- Support dispute resolution efforts, including document gathering and analysis
- Assist with corporate transactions and diligence activities as needed
- Maintain and update contract templates and standard forms
- Contribute to the development of trainings, SOPs, and internal guidance materials
Qualifications
- Juris Doctor (JD) degree from an accredited law school
- Licensed to practice law in at least one U.S. jurisdiction and in good standing
- 3–7+ years of experience in a law firm or in-house legal environment
- Experience drafting, reviewing, and negotiating commercial agreements
- Familiarity with construction, supply chain, transportation, logistics, and vendor agreements preferred
- Experience supporting construction, manufacturing, or other project-based businesses preferred
- Experience supporting business stakeholders in a fast-paced environment
