Pratt & Whitney is searching for an Associate Director and Counsel to support its Group Strategy & Development group.

The Associate Director and Counsel provides legal support for all aspects of mergers, acquisitions, divestitures, and strategic investments on behalf of Pratt & Whitney.

Reporting to the Director & Senior Counsel, Transformation & Strategy in Pratt & Whitney’s Office of General Counsel, this position is responsible for reviewing potential mergers & acquisition opportunities, developing transaction strategy and structure, conducting due diligence, drafting documentation, leading negotiations, and supporting deal closure and execution.

The position will be classified as remote and may be performed from flexible locations; however, some travel may be required

Responsibilities include:

  • Primary legal support for all stages of M&A activity from target identification transaction planning, diligence, deal development and execution, and integration or separation post-transactions
  • Review and formation of joint ventures, equity investments, and other strategic collaborations, including licensing
  • Advice and guidance to the P&W Group Strategy & Development team
  • Working closely with Group Strategy & Development and functional groups in all stages of deal activity

Basic Qualifications

  • Juris Doctor Degree (J.D.)
  • 10+ years of relevant experience
  • 5+ years of legal experience primarily in M&A at a top law firm and/or in-house
  • Good standing with a state bar association and in-house counsel registration in a timely manner following hire
  • US Person required due to government contracts

Preferred Qualifications

  • Substantial experience as a solution and business oriented attorney working all phases of M&A deals
  • Reviewing, structuring, drafting, and negotiating M&A deals, strategic investments, joint ventures and other collaborations
  • Independently negotiating complex business transactions
  • Demonstrated capacity to actively solve complicated legal and business problems
  • Ability to interact effectively with multiples levels of the organization and maintain strong relationship with peers, internal clients, and external customers
  • Ability to think and work proactively and strategically in resolving legal issues
  • Sound judgment and attention to details
  • Superior communication skills, both oral and written
  • Team player who can effectively engage with other members of the legal department and other functional groups
